Pinchee Terms of Service

Pinchee is a U.S.-based digital freight-matching platform that connects shippers with independent transportation providers (“Drivers”). Pinchee operates solely as an intermediary marketplace and does not itself provide transportation services unless explicitly stated.

By accessing or using the Pinchee platform, website, or mobile applications (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, you may not use the Platform.

To use Pinchee, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Have the legal authority to enter into binding agreements
• Comply with all applicable federal, state, and local laws
• Pinchee reserves the right to suspend or terminate accounts that provide false or misleading information.

3. Nature of the Platform

Pinchee is a technology platform only.

Drivers are independent contractors.

Drivers are not employees, agents, or representatives of Pinchee.

Pinchee does not control how Drivers perform transportation services.

All transportation agreements are entered into directly between shippers and Drivers.

4. Account Registration

Users must create an account to access certain services.

Users agree to:

• Maintain the confidentiality of login credentials
• Notify Pinchee immediately of unauthorized account use
• Be responsible for all activities under their account

5. Payments and Fees

Payments are processed through authorized third-party payment providers.

By using the Platform:

• Shippers authorize Pinchee to charge applicable service fees.
• Drivers agree that Pinchee may deduct platform fees before payout.
• Fraudulent disputes or chargebacks may result in account suspension.
• Pinchee is not a money transmission service.

6. Prohibited Activities

Users may not:

• Transport illegal or restricted goods
• Circumvent the Platform’s payment system
• Engage in fraud, deception, or misrepresentation
• Use the Platform for money laundering or sanctions evasion
• Violate transportation, safety, or commercial laws
• Violation of this section may result in permanent account termination.

7. Prohibited Items

Users may not list, request, or transport any items prohibited under applicable U.S. law, including but not limited to:

• Illegal drugs
• Weapons and firearms
• Explosives
• Hazardous materials without certification
• Counterfeit goods
• Stolen property
• Sanctioned goods or transactions

8. Disputes Between Users

Pinchee may assist in resolving disputes between users but is not obligated to do so.

Pinchee is not liable for:

• Loss or damage to goods
• Delays due to traffic, weather, or force majeure
• Acts or omissions of independent Drivers

9. Limitation of Liability

To the maximum extent permitted by law, Pinchee shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or revenue
• Business interruption
• Data loss
• Pinchee’s total liability shall not exceed the total fees paid to Pinchee in the preceding 3 months.

Users agree to indemnify and hold harmless Pinchee from claims, damages, or liabilities arising from:

• Violation of these Terms
• Illegal shipments
• Negligence or misconduct
• Regulatory violations

11. Suspension and Termination

Pinchee may suspend or terminate accounts for:

• Violation of these Terms
• Fraudulent activity
• AML or sanctions concerns
• Excessive chargebacks

12. Compliance with Laws

Users agree to comply with:

• U.S. federal law
• State transportation regulations
• Sanctions regulations
• Commercial shipping requirements
• Pinchee reserves the right to cooperate with law enforcement when required.

13. Modifications to Terms

Pinchee may update these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.

14. Governing Law

These Terms shall be governed by the laws of the United States and the State of [Insert State].
